Terms and Conditions for Lutus (Beta)

1. IMPORTANT: BETA SERVICE NOTICE

You acknowledge and agree that the Service is currently in a "Beta" phase. This means:

• The Service is for Testing and Evaluation: The primary purpose of the Beta phase is to test functionality and gather feedback. The Service is provided for evaluation purposes and is not a final, commercially released product.
• Subject to Change: All aspects of the Service—including but not limited to features, functionality, user interface, content availability, and pricing (if any)—are subject to change, modification, or discontinuation at any time, with or without notice.
• Potential for Errors and Data Loss: The Service may contain bugs, errors, and interruptions. You acknowledge that your use of the Service is at your own risk. There is a risk of data loss, including the loss of any User-Generated Content (defined below) you create or upload. We are not responsible for any loss of data. We strongly recommend you keep local copies of any content you consider important.
• No Guarantees: We make no guarantees that the Beta Service will be made available in the future as a commercial product or that any future commercial version will contain the same features and functionality as the Beta Service.
• Feedback: We welcome and encourage your feedback, comments, and suggestions for improvements to the Service ("Feedback"). You agree that we are free to use, disclose, reproduce, and otherwise exploit any Feedback you provide without any obligation or compensation to you.

2. User Accounts

• Registration: To use most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.
• Age Requirement: You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service and that they have read and agreed to these Terms on your behalf.
• Account Security: You are responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

3. User-Generated Content (UGC)

Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, educational materials, or other content ("User-Generated Content" or "UGC").

• Ownership: You retain full ownership of your UGC. We do not claim any ownership rights in your content.
• License Grant to Us: By creating or posting UGC on or through the Service, you grant Lutus a non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable, worldwide license to use, host, store, reproduce, modify, adapt, create derivative works from, publish, publicly display, publicly perform, and distribute your UGC in connection with operating, developing, providing, and improving the Service. This license allows us, for example, to share your educational content with other users and to format it for display across different devices.
• Your Responsibility: You are solely responsible for your UGC and the consequences of posting or publishing it. You represent and warrant that: (i) you are the creator and owner of the UGC, or have the necessary licenses, rights, consents, and permissions to authorize us and users of the Service to use your UGC as described in these Terms; and (ii) your UGC does not and will not infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, or any other intellectual property or proprietary right.

4. Acceptable Use and Content Standards

You agree not to post UGC or use the Service in a way that:

• Is illegal, fraudulent, or promotes illegal activities.
• Is pornographic, defamatory, libelous, threatening, harassing, hateful, racially or ethnically offensive.
• Violates the intellectual property rights of others (including copyright and trademark).
• Contains viruses, malware, or other malicious code.
• Spams, solicits, or harvests personal information from other users.
• Impersonates another person or entity.
• Disrupts or interferes with the integrity or performance of the Service.

We reserve the right, but are not obligated, to monitor, screen, and remove any UGC at any time and for any reason without notice.

5. Our Intellectual Property

Excluding your UGC, all content, features, and functionality of the Service, including the software, text, graphics, logos, and trademarks, are the exclusive property of Lutus and its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service or included software.

6. Copyright Policy (DMCA)

We respect the intellectual property rights of others. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material that is claimed to be infringing and where it is located on the Service.
• Your contact information, including your address, telephone number, and email address.
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
• A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

7. Termination

We may suspend or terminate your access to the Service at any time, for any reason or no reason, including for a breach of these Terms, especially during the Beta phase. You may terminate your account at any time by contacting us at hi@lutus.ai.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, license grants, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimers and No Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LUTUS, ITS AFFILIATES, AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LUTUS, ITS DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless Lutus and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) your User-Generated Content.

11. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
